Closing a China company does not allow management to dismiss staff informally or postpone employee liabilities until the end of liquidation. Employers need a documented legal basis, employee-by-employee calculations, a funded payment plan and coordinated payroll, social-insurance, immigration and handover steps.

Why employee termination must lead the closure plan
China company closure employee termination should be planned before the business publicly announces its exit or loses key HR, finance and legal staff. Stopping operations, revoking system access or asking employees to stay home does not by itself end labor contracts or settle wages, social insurance and compensation.
The 2025 revised national Enterprise Deregistration Guide states that a company must address employee wages, social-insurance amounts and statutory compensation or damages before liquidation is completed. These employee liabilities rank ahead of taxes and ordinary company debts in the statutory distribution order described by the guide.
Build the people workstream alongside the corporate dissolution, creditor, tax and cash plan. The legal basis and effective date for each termination affect documents, economic compensation, payroll, social insurance, individual income tax, work permits and the evidence needed for deregistration.

Identify the correct legal basis and effective date
Article 44 of the PRC Labor Contract Law provides that a labor contract terminates when an employer is declared bankrupt, has its business licence revoked, is ordered to close or is dissolved, or decides on early dissolution. Article 46 requires economic compensation for termination under the relevant Article 44 circumstances.
A planned shutdown often has a transition period between the shareholder decision, dissolution, liquidation and final deregistration. Do not assume that every employee's contract automatically ends on the day headquarters announces the closure. Match the termination route and date to the corporate facts and local implementation.
Some employers seek mutual termination before the formal dissolution event. A negotiated agreement can define timing and handover, but consent must be genuine and the documents must not waive non-waivable statutory rights. If the employer proposes mutual termination, Article 46 may also require economic compensation.
Do not confuse dissolution termination with redundancy
Economic redundancy under Article 41 and termination resulting from employer dissolution under Article 44 are different legal routes. A workforce reduction while the company will continue operating may involve consultation, reporting and selection requirements that do not disappear because a later closure is being considered.
Conversely, management should not adopt a dissolution resolution merely to label a workforce reduction as closure while continuing the same employer's business. Authorities and tribunals can examine the actual corporate event, operating continuity, employee selection and timing rather than the title on a headquarters presentation.
Prepare a short legal-basis memorandum for each employee population: employees needed through liquidation, employees ending by agreement, contracts ending through the dissolution event, fixed-term expiries, protected or special cases and any disputed or absent employees.
Calculate severance and final payroll employee by employee
Article 47 generally calculates economic compensation by years of service with the employer, using one month's wages for each full year. More than six months but less than one year is counted as one year; less than six months generally produces half a month's wages. Statutory caps and local average-wage figures can apply to higher-paid employees.
That formula is only a starting point. Confirm the relevant wage base, service dates, transfers or continuity, prior settlements, contract terms, local rules and whether the payment is economic compensation, damages for unlawful termination, salary, bonus, unused leave, expense reimbursement or another item. Different labels can have different legal and tax consequences.
Build a reconciliation for base salary, overtime where applicable, commission, earned bonus, unused annual leave, allowances, expenses, social-insurance and housing-fund adjustments, individual income tax, statutory compensation and agreed additional payment. Have HR, payroll, finance and counsel review the same version before documents are issued.

Review protected employees and special circumstances
Pregnancy, maternity or nursing status, medical treatment, occupational disease or work injury, long service and proximity to statutory retirement can affect ordinary termination restrictions and contract extension. How those rules interact with genuine dissolution requires case-specific analysis rather than a blanket policy.
Also identify employees on sick leave, parental leave, secondment, dispatch arrangements, fixed-term contracts, non-compete obligations, equity plans, immigration sponsorship or pending disputes. An employee's absence or refusal to sign does not authorise the company to skip notice, evidence, payment or administrative steps.
Review collective contracts, employee handbooks, union or employee-representative procedures, local consultation expectations and contractual enhanced benefits. Use consistent decision criteria and retain the facts supporting different treatment.
Prepare termination documents and a controlled communication plan
Documents may include the shareholder or company dissolution evidence, employee notice or mutual agreement, compensation calculation, final payroll statement, property-return record, confidentiality and non-compete reminder, separation certificate and proof of delivery and payment. Exact documents depend on the route and location.
Coordinate communications so employees receive accurate information about the employer, reason, effective date, work expectations, pay, benefits, claims contact and document collection. Avoid promising a deregistration date or payment outcome that depends on unresolved cash, tax, banking or creditor issues.
Preserve personnel files, contracts, attendance, leave, payroll, tax, social-insurance, performance and disciplinary records. Restrict access lawfully and maintain a designated contact after the local HR team leaves. Personal data should be retained and transferred only on a lawful, necessary basis.
Coordinate social insurance, housing fund and tax
Complete final payroll and individual income tax withholding and reconcile employee social-insurance and housing-fund records through the applicable local systems. Do not close bank or payroll access before employee payments and required corrections can be completed.
The 2025 Enterprise Deregistration Guide states that the company must settle unpaid social-insurance contributions, late charges and penalties before social-insurance deregistration. The guide also describes social-insurance deregistration after enterprise deregistration and information sharing through the integrated closure platform, but local handling should be confirmed.
Classify each payment accurately for payroll and tax reporting. Statutory compensation, negotiated additional amounts, salary, bonus and unused leave should not be combined into an unexplained bank transfer. Provide employees with usable payment and separation evidence.
Cancel foreign employee work permits and coordinate residence status
Foreign employees require a separate immigration workstream. Current official Beijing and Shanghai guidance states that an employer should apply to cancel a Foreigner's Work Permit within 10 working days after early contract termination or termination of the employment relationship. Required evidence and handling of an uncooperative employee can vary by authority.
Work-permit cancellation is not the same as residence-permit cancellation or transfer. Coordinate the employee, employer, work-permit authority and exit-entry administration, and clarify whether the individual will leave China, change employer or seek another lawful status.
Issue accurate separation evidence and protect enough company access, chops and authorised signatories to complete the applications. Do not promise that a new work permit, residence status or transfer will be approved; the authorities decide based on current rules and the individual's facts.

Fund employee claims before shareholder distributions
A closure budget should reserve enough cash for wages, benefits, social insurance, statutory compensation, disputed claims, professional fees and administrative completion. Do not upstream cash merely because headquarters has approved the exit.
The national deregistration guide places employee wages, social-insurance amounts and statutory compensation ahead of taxes and general company debts in the liquidation distribution sequence. Company assets must not be distributed to shareholders before the required liabilities are settled.
If the company may be unable to pay employee or other debts, obtain insolvency advice immediately. Management should not selectively pay related parties, sign unsupported releases or assume the overseas parent automatically replaces the China employer.

The Labor Contract Law requires economic compensation when contracts terminate because the employer is bankrupt, has its licence revoked, is ordered to close or dissolve, or decides on early dissolution, subject to the facts and applicable rules.
How is China closure severance calculated?
