Why a WFOE address change is a compliance project

A China WFOE registered address change may be triggered by an office move, lease expiry, landlord issue, district incentive change, consolidation, business expansion or the loss of a compliant service address. The registered domicile is an official company-registration item, not simply a mailing preference.

The address can determine the competent market-regulation and tax authorities and can affect licences, customs, banking, invoices, social insurance, housing fund, work permits, contracts and government correspondence. A physical move without completing required changes can lead to missed notices or inconsistencies in official records.

This guide focuses on changing the registered domicile of an existing foreign-invested limited liability company. It does not replace the separate review required for a branch, representative office, factory site, regulated facility or move between provinces.

Validate the new premises before signing or moving

Confirm that the proposed premises can lawfully support company registration and the intended activity. Review the ownership certificate or other property evidence, permitted use, landlord authority, lease, subdivision or room identification, local address format and any building or zone restrictions.

A commercial lease does not itself guarantee registration acceptance. Industrial, food, education, medical, hazardous, retail and other regulated activities may require premises that satisfy additional planning, safety, environmental or licensing conditions. Virtual or clustered-address arrangements depend on current local rules and provider eligibility.

Ask the competent registration authority or qualified local adviser what address-use evidence is accepted before committing to rent and fit-out. Align the Chinese address across the lease, property documents and application; explain building, unit or transliteration differences in advance.

Approve the change and prepare the registration documents

Review the WFOE's articles of association and governance documents to identify the body authorised to approve a domicile change. Prepare the required shareholder or board decision, amended articles or amendment, application and authorisation for the filing representative.

The Market Entity Registration Implementation Rules state that a market entity changing its domicile should apply to the registration authority at the destination before moving into the new domicile and submit documents relating to lawful use of the new premises. The exact local submission path and signatures should be confirmed.

From May 1, 2026, registration authorities use SAMR's 2026 national forms and materials standards. Those standards also optimise migration: the entity applies to the destination registration authority, which requests the file from the former authority, rather than requiring the company to repeat the file-transfer application at the former location.

Distinguish an in-district move from cross-district migration

An address change within the same registration jurisdiction may be handled as a straightforward change filing. A move to another district, city or province can require migration of the registration file and coordination between destination and former authorities.

Do not assume that every district accepts the same documents or that a company can retain all existing incentives, licences or tax arrangements after moving. Industrial parks and development zones may have contractual conditions, subsidies, refund mechanisms or exit obligations that need review.

Map the destination authority, registration-file transfer, tax jurisdiction, invoices, bank, customs, foreign exchange, social insurance, housing fund and licences before selecting a move date. Maintain access to the former registered address until official notices and file transfers are under control.

Coordinate tax migration and unfinished tax matters

If the move changes the competent tax authority, the company may need a cross-regional tax migration process rather than only a business-licence update. Current procedures vary by location and by whether the move is within a city, across cities or across provinces.

Tax authorities can review unfinished filings, unpaid tax, penalties, export tax refunds, invoices, tax-control matters, audits and other open items before migration. Shanghai's 2026 electronic-tax guidance, for example, uses a cross-regional migration report and requires unfinished matters at the former authority to be handled.

Reconcile tax registration details, invoice information, bank-tax agreements, digital accounts and taxpayer contacts after the move. Do not promise an immediate migration or a fixed completion date without checking the company's tax status and the current source and destination procedures.

Update licences, customs, bank and foreign-exchange records

After the business-licence change, review every permit and filing that displays or relies on the address. Regulated licences may require advance approval, a premises inspection or a separate amendment rather than an automatic update.

Coordinate customs registration, import-export records, bank accounts, foreign-exchange information, capital accounts, payment platforms, insurance and other financial counterparties. Banks may request the updated licence, articles, resolution, lease, beneficial-ownership information and authorised-person documents.

Sequence changes so the company can continue receiving funds, issuing compliant invoices, clearing goods and paying employees. An updated electronic or paper business licence does not prove that every connected system has already changed.

Align contracts, payroll, employees and public information

Update contracts, purchase orders, invoices, letterhead, website, privacy notices, customer and supplier master data, registered mail instructions and internal policies where the address is stated or operationally relevant. Notify counterparties under the agreed contract procedure.

Review employee work locations, labor-contract wording, commuting impact, remote-work arrangements, social insurance and housing-fund jurisdiction. A significant workplace relocation can create employment-law questions that should be assessed separately from corporate registration.
